Terms of Service

These Terms of Service ("Terms") govern your use of the Modern Path AI website and any services provided by Modern Path AI ("we", "us", "our"). By using our website or becoming a client, you agree to these Terms.
If you do not agree with these Terms, please do not use our website or services.
1. Who We Work With
Modern Path AI provides AI, automation, and CRM-related services to small and medium businesses, primarily in Canada and the United States.
All services are delivered on a retainer (monthly) basis unless otherwise agreed in writing.
2. Services We Provide
Our services may include, but are not limited to:
- Designing and implementing AI-powered workflows and automations
- Setting up and configuring CRM systems (including Go High Level accounts)
- Deploying and managing AI agents (e.g., for support, sales, scheduling, content, reviews)
- Building or optimizing websites and landing pages
- Creating and managing lead capture, follow-up, and client acquisition systems
- Ongoing monitoring, optimization, and support of these systems
The exact scope of services for each client is defined in a separate proposal, agreement, or onboarding document.
3. Retainer Model, Payments & Billing
Our services are provided on a monthly retainer basis.
Fees, billing dates, and scope are agreed with you in writing before work begins.
Payments are typically processed via Stripe as an automated monthly payment.
You authorize us (or our payment processor) to charge your chosen payment method on a recurring basis for the agreed fees.
If a payment fails, we may:
- Retry the charge
- Contact you to update your payment details
- Pause or suspend services until payment is resolved
4. Cancellation & Refund Policy
You may cancel your retainer at any time with 30 days' written notice (for example, via email).
During the 30-day notice period, services and billing will continue as normal.
We do not typically provide refunds for partial months or unused time, as retainers cover access to our time, expertise, and ongoing systems management.
We reserve the right to terminate the relationship with a client with 30 days' written notice as well, for example in cases of non-payment, misuse, or other reasonable business reasons.
Early Cancellation & Setup Fee: If you cancel your retainer or subscription before completing twelve (12) consecutive months of service, a setup fee of $750 USD will be charged. This setup fee was initially waived as part of your onboarding, conditional on maintaining an active subscription for at least one year. If you cancel early, the $750 USD setup fee will be invoiced and is due immediately upon cancellation.
5. Use of CRM and Third-Party Platforms
As part of our services, we may:
- Set you up with a CRM account (for example, on Go High Level) branded under Modern Path AI
- Configure automations, AI agents, and integrations inside that environment
Key points:
- Your business and customer data are stored inside your CRM account.
- You are responsible for complying with any legal or regulatory requirements that apply to your business and your customers (for example, privacy, consent, and data retention rules).
- We configure and manage the systems, but you remain the data controller for your own clients' data.
- You agree to comply with the terms and policies of any third-party platforms we use (e.g., CRM, email, SMS providers, Stripe).
6. Data, AI & Automation
By working with us, you understand and agree that:
- We use AI tools, automations, and integrations to deliver our services.
- AI-generated content (messages, emails, replies, etc.) may need review and oversight from you or your team, especially in regulated or sensitive industries.
- You are responsible for the final approval and use of any AI-generated content in your business.
We will not intentionally use your data for any purpose other than:
- Delivering and improving the services you have engaged us for
- Troubleshooting, monitoring, and optimizing your systems
We do not sell your client data.
7. Your Responsibilities
You agree to:
- Provide accurate information about your business, services, and goals
- Obtain any necessary consents from your own clients or contacts for communications sent via email, SMS, WhatsApp, or other channels
- Use the systems we set up in a lawful and ethical way
- Not use our services or systems for spam, harassment, or illegal activities
You are responsible for:
- The content of your messages, campaigns, and automations
- Compliance with applicable laws and regulations in your jurisdiction (for example, anti-spam laws, privacy laws, advertising rules)
8. No Guaranteed Results or Warranties
We aim to help you save time, reduce manual work, and get more clients through AI and automation. However:
- We do not and cannot guarantee any specific number of leads, clients, sales, revenue, or other business outcomes.
- Performance depends on many factors outside our control, including your industry, offer, pricing, competition, market conditions, and your own actions.
- Any examples, case studies, or testimonials we share are for illustration only and do not represent a promise or guarantee of results.
- All services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
9. Intellectual Property
Unless otherwise agreed in writing:
- You own your brand, logo, and business content.
- We own our internal processes, frameworks, and proprietary templates.
- For content, funnels, and automations we create specifically for you, you receive a license to use them in your business for as long as you remain a client and, where reasonable, after.
- Third-party tools and platforms remain the property of their respective owners.
10. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, special, or consequential damages arising out of your use of our services or systems.
- Our total liability to you for any claim related to our services is limited to the amount you paid us in the three (3) months immediately before the event giving rise to the claim.
Nothing in these Terms limits liability where it cannot be limited by law.
11. Changes to Services or Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify active clients.
Continued use of our website or services after changes are posted means you accept the updated Terms.
12. Governing Law
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict of law principles.
